Terms of Service

Please read these terms carefully before using the Schoolyft platform.

1. Definitions

In these Terms of Service, the following definitions apply:

  • "Schoolyft," "we," "us," or "our" refers to Schoolyft Solutions Ltd, the company operating the Platform.
  • "Platform" refers to the Schoolyft website, mobile applications, Progressive Web App (PWA), and all related services.
  • "User" or "you" refers to any individual or entity accessing or using the Platform.
  • "School" refers to educational institutions that subscribe to use Schoolyft, including their administrators and management.
  • "Teacher" refers to educators, instructors, and instructional staff authorized by a School to use the Platform.
  • "Parent" refers to parents, legal guardians, or authorized caregivers of Students.
  • "Student" refers to learners enrolled at a School using the Platform, who may be minors.
  • "CBT" refers to Computer-Based Testing, our online and offline examination system.
  • "Content" refers to all text, data, files, assessments, communications, and other materials uploaded, submitted, or transmitted through the Platform.
  • "Account" refers to a registered user account on the Platform.

2. Acceptance of Terms

By accessing or using the Schoolyft Platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are accessing the Platform on behalf of a School or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

For Students who are minors, use of the Platform constitutes acceptance by their Parent or guardian on their behalf.

3. User Roles and Responsibilities

3.1 Schools

Schools are responsible for:

  • Ensuring accurate registration information is provided
  • Obtaining appropriate consent from Parents for Student participation
  • Managing user accounts (Teachers, Parents, Students) within their organization
  • Ensuring compliance with applicable data protection laws
  • Supervising appropriate use of the Platform within their institution
  • Maintaining the confidentiality of administrative credentials
  • Paying applicable subscription fees on time

3.2 Teachers

Teachers are responsible for:

  • Using the Platform in accordance with their School's policies
  • Maintaining the confidentiality of their login credentials
  • Creating appropriate and accurate assessments and content
  • Communicating professionally with Parents and Students
  • Respecting Student privacy and data protection requirements

3.3 Parents

Parents are responsible for:

  • Providing accurate information during registration
  • Supervising their children's use of the Platform where appropriate
  • Communicating respectfully with Teachers and School staff
  • Keeping login credentials confidential
  • Reviewing and updating their children's information as needed

3.4 Students

Students are responsible for:

  • Using the Platform in accordance with their School's rules
  • Completing assessments honestly and without cheating
  • Not sharing login credentials with others
  • Respecting other users and behaving appropriately

4. Account Creation and Access Control

4.1 Schools register for Schoolyft and create the primary administrative account. Schools then create and manage accounts for Teachers, Parents, and Students within their organization.

4.2 You must provide accurate, current, and complete information when creating an account and keep this information updated.

4.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.4 You must notify us immediately of any unauthorized use of your account or any security breach.

4.5 We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

5. School Responsibility for Student Data

5.1 Schools act as data controllers for Student data and are responsible for:

  • Obtaining appropriate consent from Parents/guardians before adding Students to the Platform
  • Ensuring that Student data is accurate and up-to-date
  • Determining who has access to Student data within their organization
  • Responding to data access, correction, or deletion requests from Parents
  • Complying with all applicable child data protection laws

5.2 Schoolyft processes Student data only on behalf of and according to the instructions of Schools.

5.3 Schools warrant that they have the legal authority to provide Student data to Schoolyft and to authorize its processing.

6. Acceptable Use Policy

You agree to use the Platform only for lawful educational purposes and in accordance with these Terms. You must:

  • Use the Platform in compliance with all applicable laws and regulations
  • Respect the privacy and rights of other users
  • Only access data you are authorized to view
  • Use the communication features for legitimate educational purposes
  • Maintain professional conduct in all interactions

7. Prohibited Activities

The following activities are strictly prohibited:

  • Attempting to gain unauthorized access to other accounts or systems
  • Sharing login credentials with unauthorized persons
  • Uploading malicious software, viruses, or harmful code
  • Using the Platform to harass, bully, or threaten others
  • Uploading inappropriate, offensive, or illegal content
  • Attempting to reverse-engineer or copy the Platform
  • Using automated tools to scrape or extract data
  • Interfering with or disrupting Platform operations
  • Using the Platform for commercial purposes unrelated to educational services
  • Impersonating another user or providing false information
  • Violating any applicable laws or regulations
  • Cheating or facilitating cheating in examinations

8. CBT Rules, Exam Integrity, and Offline Behavior

8.1 Examination Conduct

  • Students must complete examinations independently and honestly
  • Using unauthorized materials, devices, or assistance during exams is prohibited
  • Sharing exam questions or answers with others is prohibited
  • Attempting to access exam content before authorized times is prohibited
  • Schools may set additional exam rules that must be followed

8.2 Offline Examinations

  • The Platform supports offline CBT examinations for areas with limited connectivity
  • Exam questions and responses are temporarily stored on the device during offline exams
  • Students must not attempt to access or modify stored exam data
  • Responses are automatically synchronized when connectivity is restored
  • Any manipulation of offline exam data will result in disqualification

8.3 Exam Integrity Violations

Violations of exam integrity may result in score nullification, account suspension, or other disciplinary actions as determined by the School.

9. Intellectual Property

9.1 Schoolyft Property

The Platform, including its software, design, features, content, and documentation, is owned by Schoolyft Solutions Ltd and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform without our written permission.

9.2 User Content

Users retain ownership of Content they create and upload to the Platform. By uploading Content, you grant Schoolyft a non-exclusive, worldwide, royalty-free license to use, store, process, and display your Content solely for the purpose of providing and improving the Platform.

9.3 School Content

Schools retain ownership of their curriculum materials, assessments, and institutional data. Schoolyft will not use School Content for purposes other than providing the Platform services without explicit permission.

10. Payments, Subscriptions, and Fees

10.1 Schoolyft offers both free and paid subscription plans. Features available in each plan are described on our website.

10.2 Paid subscriptions are billed according to the selected billing cycle (monthly, termly, or annually).

10.3 All fees are stated in the applicable currency and are exclusive of taxes unless otherwise indicated.

10.4 We may change our pricing with at least 30 days' notice before the next billing cycle.

10.5 Refunds are provided only in accordance with our refund policy or as required by law.

10.6 Failure to pay may result in service suspension or termination.

11. Service Availability and Downtime

11.1 We strive to maintain high availability of the Platform but do not guarantee uninterrupted access.

11.2 The Platform may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Circumstances beyond our control (internet outages, natural disasters, etc.)

11.3 We will make reasonable efforts to notify users of planned downtime in advance.

11.4 The offline functionality of our PWA helps ensure continued access to essential features during connectivity issues.

12. Data Ownership and Licensing

12.1 Schools and users retain ownership of their data. Schoolyft does not claim ownership of user-generated Content.

12.2 Schools may export their data at any time through available export features or by requesting data export from our support team.

12.3 We may use anonymized and aggregated data (which cannot identify individuals) to improve our services and for research purposes.

12.4 Upon termination, Schools may request a copy of their data within 30 days.

13. Termination and Suspension

13.1 Termination by Users

Schools may terminate their account at any time by contacting our support team. Individual users may request account deletion through their School or by contacting us directly.

13.2 Termination by Schoolyft

We may suspend or terminate access if:

  • You violate these Terms of Service
  • You engage in fraudulent or illegal activities
  • Payment obligations are not met
  • Your account has been inactive for an extended period
  • Required by law or government order

13.3 Effect of Termination

  • Access to the Platform and all associated data will be discontinued
  • Schools may request data export within 30 days of termination
  • Outstanding payment obligations remain due
  • Provisions that should survive termination (such as intellectual property, limitation of liability) will continue to apply

14. Limitation of Liability

14.1 To the maximum extent permitted by law, Schoolyft Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Service interruptions or downtime
  • Errors or inaccuracies in Content uploaded by users
  • Unauthorized access resulting from your failure to protect credentials
  • Actions of third parties or other users

14.2 Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by you (or your School) to Schoolyft in the twelve (12) months preceding the claim.

14.3 These limitations do not apply to liability that cannot be excluded by law.

15. Disclaimer of Warranties

15.1 The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

15.2 We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.3 We do not warrant that:

  • The Platform will meet your specific requirements
  • The Platform will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected

15.4 You use the Platform at your own risk.

16. Indemnification

You agree to indemnify, defend, and hold harmless Schoolyft Solutions Ltd, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or transmit through the Platform
  • Your failure to obtain necessary consents for student data (for Schools)

17. Governing Law

17.1 These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

17.2 The Nigeria Data Protection Act (NDPA) and other applicable Nigerian laws shall apply to data protection matters.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us to attempt to resolve any dispute informally. We will make reasonable efforts to resolve the matter within 30 days.

18.2 Mediation

If informal resolution is unsuccessful, disputes may be submitted to mediation before a mutually agreed mediator.

18.3 Jurisdiction

If mediation is unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

19. Changes to Terms

19.1 We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on the Platform
  • Updating the "Last updated" date
  • Sending email notification to registered School administrators

19.2 Changes will take effect 30 days after posting unless otherwise specified.

19.3 Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Schoolyft regarding your use of the Platform.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
